1. Agreement to these Terms
   Welcome to Coach Trust (the “Site”), operated by Coach Trust (“we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of the Site at coachtrust.co.uk and any related services we provide. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility
   You must be at least 16 years old to use the Site. By using the Site you represent and warrant that you are at least 16 years old and have legal capacity to enter into these Terms. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Our services and content
   3.1 What we provide

• The Site aggregates and displays information about life coaches assembled from publicly available online sources and from information supplied by coaches who claim listings. We may also provide search, directory, ratings/reviews features, user accounts, communication tools, newsletters, and other services.

3.2 No professional advice

• Information on the Site is for general informational purposes only and does not constitute professional advice (legal, medical, financial, psychological, or therapeutic). You should not rely solely on the content of the Site to make decisions; seek appropriate professional advice where required.

3.3 Accuracy and public-source content

• We compile coach profiles from publicly available sources. While we strive to ensure accuracy, we do not guarantee that all information is complete, accurate, or current. If you are a coach and wish to claim, correct or remove a listing, please contact us using the details in Section 15.

4. User accounts and registrations
   4.1 Accounts

• Certain features may require registration and an account. You agree to provide accurate, current and complete information when creating an account and to keep your account information up to date.

4.2 Account security

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorised use or security breach. We may suspend or terminate accounts that breach these Terms.

5. User content, coach-submitted content and claims
   5.1 User Content

• “User Content” means any content you submit to the Site (including comments, reviews, messages, profile information, images, or other materials). By submitting User Content you grant Coach Trust a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, publish, translate, distribute, and otherwise exploit such content in connection with operating and promoting the Site.

5.2 Coach-submitted listings

• If you submit or claim a coach listing, you represent and warrant that you have the right to provide the content and any personal data included is accurate and lawful to publish. You must not post content that is defamatory, fraudulent, infringing, unlawful, abusive, or violates any third-party rights.

5.3 Moderation and removal

• We reserve the right, but are not obligated, to monitor, review, remove or refuse to publish any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable. We may also respond to valid requests to remove or correct public-source information that may violate privacy or other rights (see Section 15).

6. Prohibited conduct
   When using the Site you must not:

• Use the Site for any unlawful purpose or in violation of applicable law or regulation.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Upload, post or transmit any content that is defamatory, obscene, pornographic, abusive, hateful, harassing, discriminatory, or otherwise objectionable.
• Post content that infringes any third-party intellectual property or other rights.
• Use automated means (bots, scrapers, crawlers) to access, index, or gather data from the Site without our express written permission; this includes harvesting coach contact information or email addresses.
• Attempt to circumvent measures used to prevent or limit access to the Site, interfere with the Site’s operation, or introduce malicious code.
• Use contact details obtained via the Site for sending unsolicited communications (spam) or for unlawful direct marketing.

7. Intellectual property
   7.1 Our content and trademarks

• All content on the Site provided by Coach Trust (excluding User Content and public-source content submitted by third parties) is owned or licensed by us and is protected by copyright, database rights, trademark and other intellectual property laws. You may view and use the Site for personal, non-commercial purposes only, unless you obtain our prior written consent.

7.2 Respecting third-party IP

• If you believe that content on the Site infringes your intellectual property rights, please contact us with a properly substantiated notice (see Section 15) and we will respond in accordance with applicable law.

8. Reviews and ratings

• If the Site hosts user reviews or ratings of coaches, you must submit honest, accurate, and non-defamatory feedback based on your genuine experience. False reviews, defamatory statements, or manipulation of ratings is prohibited. We may remove reviews that violate these Terms.

9. Payments, fees and refunds (if applicable)

• If we offer paid services (e.g., premium listings, paid promotions, subscription features), the terms for those services, including prices, payment methods, billing cycles and refund policies, will be set out at the point of purchase or in a separate agreement. Payment processing may be handled by third-party providers; you agree to their terms as applicable. We reserve the right to change fees or introduce new charges with reasonable notice.

10. Disclaimers and limitation of liability
    10.1 No warranty

• The Site and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory or otherwise. Coach Trust disclaims all implied warranties, including fitness for a particular purpose, accuracy, completeness, quiet enjoyment, and non-infringement.

10.2 Limitation of liability

• To the maximum extent permitted by law, Coach Trust (and our officers, directors, employees, agents, suppliers and affiliates) will not be liable for any indirect, incidental, special, consequential or exemplary damages, including lost profits, loss of data, or other intangible losses arising from your use of the Site. Our aggregate liability for direct losses arising from these Terms will be limited to the amount paid by you to Coach Trust in the 12 months preceding the event giving rise to the claim, or £100 (one hundred pounds), whichever is greater.

10.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability which cannot be limited or excluded under applicable law.

11. Indemnity

• You agree to indemnify, defend and hold harmless Coach Trust and our officers, directors, employees, agents and partners from and against any claim, loss, liability, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; (c) your User Content; or (d) your violation of applicable law or third-party rights.

12. Termination and suspension

• We may suspend or terminate your access, with or without notice, if you breach these Terms or for any other reason at our discretion. On termination, your right to use the Site ceases and we may delete or deactivate your account and any User Content, subject to our retention obligations and Privacy Policy.

13. Third-party links and services

• The Site may link to or integrate third-party websites, apps, services or resources. We do not control these third parties and are not responsible for their content, policies, or practices. You access and use third-party services at your own risk and should review their terms and privacy policies.

14. Changes to these Terms

• We may revise these Terms from time to time. When we make material changes we will post the updated Terms on the Site with a revised effective date and, where appropriate, notify users. Continued use of the Site after changes constitutes acceptance of the updated Terms.

• For IP infringement claims, please provide: (a) identification of the infringing material and its location on the Site; (b) identification of the copyrighted work claimed to be infringed; (c) contact information for the complaining party; (d) a statement that the complaining party has a good-faith belief the use is not authorised; and (e) a statement, under penalty of perjury, that the information provided is accurate and that the complaining party is authorised to act on behalf of the copyright owner.

16. Governing law and dispute resolution

• These Terms are governed by and construed in accordance with the laws of England and Wales. You and Coach Trust agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of or in connection with these Terms, except where mandatory law requires otherwise.

17. Miscellaneous

• Assignment: We may assign or transfer our rights and obligations under these Terms in connection with a merger, reorganisation, sale of assets, or similar transaction. You may not assign your rights under these Terms without our prior written consent.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
